GravyWorks — A Product of ShraderWorks LLC

1. Agreement to Terms
By downloading, installing, or using GravyWorks (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the App.
GravyWorks is operated by ShraderWorks LLC, a Georgia limited liability company (“ShraderWorks,” “we,” “our,” or “us”).

2. Who May Use GravyWorks
GravyWorks is intended for adults (18+) operating legitimate field service businesses in the United States. By using the App, you represent that:
- You are at least 18 years old
- You are operating a lawful business
- You have the authority to enter into these Terms on behalf of your business
- You will use the App only for lawful purposes
3. Licenses and Ownership
3.1 Your License
ShraderWorks grants you a personal, non-exclusive, non-transferable, revocable license to use GravyWorks on devices you own or control, solely for your business purposes.
3.2 Your Data
You own your data. Always. Customer records, job details, quotes, invoices, and all business data you create in GravyWorks belong to you. ShraderWorks claims no ownership over your business data.
3.3 Our Intellectual Property
The GravyWorks app, including its code, design, trademarks, and content, is owned by ShraderWorks LLC. You may not copy, modify, distribute, sell, or reverse-engineer any part of the App.
4. Pricing and Payment
4.1 One-Time Purchase
GravyWorks is sold as a one-time purchase. There is no monthly subscription fee for the core application.
Current pricing:
- Pioneer Beta: Free (limited availability — 20 spots)
- Pioneer Graduate Price: $99.00 one-time (offered at Day 58 of Pioneer Beta)
- Founding Member: $149.00 one-time (limited — 50 spots)
- Standard: $249.00 one-time
- Post-Launch: $299.00 one-time
Pricing is subject to change for new purchases. Your purchase price is locked at the time of payment.
4.2 The Lights-On Fee — Recurring Charge Disclosure
⚠️ Important: Please read this section carefully.
In addition to the one-time purchase price, GravyWorks charges a Lights-On Fee of $0.25 (twenty-five cents) per payment transaction processed through the app. This fee applies each time you collect payment from a customer using GravyWorks' integrated payment processing.
This is a recurring charge. It applies to every payment transaction you process. It is not a monthly subscription, but it recurs with each use of the payment processing feature.
Example: If you process 65 customer payments in a month, your Lights-On Fee for that month is $16.25.
The Lights-On Fee is separate from and in addition to standard payment processing fees charged by Stripe (currently 2.9% + $0.30 per transaction). Your total cost per transaction is: Stripe rate + $0.25 Lights-On Fee.
The Lights-On Fee is charged via our web platform at gravyworks.app. You will receive a monthly statement of Lights-On Fee charges.
4.3 Payment Processing
All payments are processed by Stripe, Inc. By using GravyWorks payment features, you agree to Stripe's Terms of Service. ShraderWorks never stores your card information.
4.4 Taxes
You are responsible for any applicable taxes on your purchases.
5. Cancellation and Refund Policy
5.1 One-Time Purchase Refund
We offer a 30-day full refund on your one-time purchase, no questions asked. Contact support@gravyworks.app within 30 days of purchase with your order details.
5.2 Lights-On Fee Cancellation — Your Right to Cancel
You have the right to stop incurring Lights-On Fees at any time by discontinuing use of GravyWorks' integrated payment processing feature.
To cancel your GravyWorks account and stop all future charges:
- Navigate to Settings → Account → Cancel Account within the app, OR
- Email support@gravyworks.app with subject line “Account Cancellation Request”
We will process your cancellation within 24 hours. Any Lights-On Fees incurred before cancellation are non-refundable. Your data remains exportable for 30 days following cancellation.
Disclosure required by FTC Negative Option Rule: By using GravyWorks payment processing, you authorize recurring $0.25 per-transaction charges. You may cancel at any time using the methods described above.
5.3 Pioneer Beta
Pioneer Beta participants receive free access for 60 days. At Day 58, we will offer you a discounted lifetime license at $99. Acceptance is entirely optional. If you decline, your Pioneer Beta access ends at Day 60 with no charge.
6. Data Ownership and Portability
Your data is yours. Always. You may export a complete copy of your business data at any time via Settings → Export Data. Exports are provided in standard CSV format.
ShraderWorks will not:
- Hold your data hostage
- Charge for data exports
- Delete your data without notice
- Sell your data to any third party
7. Acceptable Use
You agree not to use GravyWorks to:
- Violate any applicable law or regulation
- Process fraudulent transactions
- Harass, threaten, or harm any person
- Transmit malware or attempt to breach our security
- Use the App on behalf of a business you do not operate
- Resell or sublicense access to the App
8. Service Availability
GravyWorks is an offline-first application. Core features (quoting, invoicing, job management) are available without internet connectivity. Features requiring connectivity (payment processing, cloud sync) depend on third-party services and internet access.
We do not guarantee uninterrupted service for connectivity-dependent features. We are not liable for downtime caused by third-party providers (Stripe, Supabase, Apple, Google).
9. Disclaimer of Warranties
GravyWorks is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
To the maximum extent permitted by applicable law, ShraderWorks LLC's total liability to you for any claims arising from these Terms or your use of GravyWorks shall not exceed the greater of: the amount you paid for your GravyWorks license, or $100.00 USD.
ShraderWorks is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
11. Indemnification
You agree to indemnify and hold harmless ShraderWorks LLC, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of GravyWorks, your violation of these Terms, or your violation of any third-party rights.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Marietta, Georgia. You waive the right to participate in a class action lawsuit or class-wide arbitration.
Small claims court proceedings remain available to either party for eligible disputes.
13. Changes to These Terms
We will notify you of material changes via email and an in-app notification at least 30 days before changes take effect. Continued use after the effective date of changes constitutes acceptance.
14. Termination
We may terminate or suspend your access if you violate these Terms. You may terminate your account at any time as described in Section 5.2. Upon termination, your license to use the App ends, but your right to export your data persists for 30 days.
15. Entire Agreement
These Terms, together with our Privacy Policy (gravyworks.app/privacy), constitute the entire agreement between you and ShraderWorks LLC regarding GravyWorks and supersede all prior agreements.
